Since when does "Dark Necrofear"s effect not activate? It activates as soon as it's destroyed by an effect or battle and sent to the Graveyard...

"Magic Drain"s effect may be negated, but the activation/resolution is not. I think of it similar to the way that Equip Cards still resolve even if they're destroyed before they resolve (i.e. "Spirit Reaper" vs. "Snatch Steal" vs. "Mystical Space Typhoon"). I could be wrong, though.

Let's not forget that "Neo-Spacian Dark Panther"s effect is Spell Speed 1 and can only be activated during the Main Phase of the controller's turn. Even if it did work the way you wanted it to, you wouldn't be able to copy anything during your opponent's turn.
