i have always wondered is it leagal for a player to count the # of cards left in his or her deck without seeing what a card is?
 
No I don't think you can touch the deck unless you are drawing or searching for something.  A way around this is to count your graveyard, field and hand. then subtract that by the number of cards in your deck.
 
Power of Chaos allows you to see the number of cards left in your deck.  I can't remember where the pictures for Yu-gi-oh online are.. but i believe it allowed the same.   Keep in mind that one can always deduce the numbers of cards left by counting the cards in the graveyard, on the field, in the hand, under the opponents control, and in the removed from play pile.   But late in the duel that might be considered stalling so counting the deck would make more sense.

However card sleeve are translucent and reflective, counting the cards might be considered an attempt to cheat.
 
Dlannan points out that the Painful Choice ruling says you need at least 5 cards in your deck to activate it. That means you need to know the number of cards to know you can activate Painful Choice, which means you know how many cards you have.
 
You are allowed to count the number of cards that you have left in your deck at any time (as long as you keep them face down and not look at them). Your opponent may in fact request to count the number of cards you have left in your deck as well.
