I've wondered about this before, are you sure that he can negate a Spell card as it resolves?  I would have thought that he would have to do the negation at activation because targets are designated at activation, but I do also see how it could be this way, so I'm still puzzled.

The power boost is a continuous effect, so it would kick in before damage calculation, but it only applies to monsters on the same side of the field as Nightmare Penguin, so your 7 Colored Fish would not kill it.

I believe both rulings are essentially the same; they are just worded differently.  If Magical Merchant's effect disappears, then you do not carry out any part of its effect; so no card is added to your hand and no cards are sent to the Graveyard and all the cards you picked up go back into...
